These Terms of Service ("Terms") govern your access to and use of the Moniary website, services, and applications (collectively, the "Service"), owned and operated by Sunamity, s.r.o. ("Moniary", "we", "us", or "our"), with registered office at Korunní 2569/108, Vinohrady (Praha 10), 101 00 Praha, Czech Republic, Company ID: 22046496.
Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
Moniary is a Software-as-a-Service (SaaS) product that uses artificial intelligence (AI) to automatically process supplier invoices. You can connect your business email account(s) for automatic invoice detection, or manually upload invoice files. Our AI extracts key data including supplier details, amounts, due dates, line items, and VAT information, then generates ISDOC-format files for direct import into Czech accounting software systems ("Purpose").
Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Account Creation: You may need to register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and keep your account information updated.
Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for the Purpose described herein, during the term of your contractual relationship.
Ownership: The Service, including all software, source code, algorithms, user interface designs, trademarks, logos, and all related documentation and content (collectively, "Moniary IP"), is the exclusive property of Sunamity, s.r.o. and is protected under applicable intellectual property laws, including but not limited to the Czech Copyright Act (Act No. 121/2000 Coll.).
Restrictions: You may not: (a) copy, modify, adapt, or create derivative works based on the Service or any part of it; (b) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying algorithms of the Service; (c) remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service.
Your Content: You retain full ownership of all content you upload, submit, or create through the Service. Nothing in these Terms transfers ownership of your content to us.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
Prohibited Activities: (a) use the Service for any illegal purpose or in violation of any applicable laws or regulations; (b) reverse engineer, scrape, or attempt to extract data from the Service beyond normal use; (c) upload or transmit malicious content, viruses, or any code designed to disrupt or damage the Service; (d) share your account credentials with third parties or allow unauthorized access to your account; (e) interfere with or disrupt the integrity or performance of the Service or its infrastructure; (f) attempt to gain unauthorized access to the Service, other accounts, or computer systems connected to the Service.
Enforcement: We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspending or terminating the offending user's account.
Email Access: To use the email integration feature, you must grant us permission to access your designated email account(s) via secure authentication methods (e.g., OAuth). You represent and warrant that you have the necessary rights to grant this access.
Data Processing: You grant us the right to scan, access, process, and temporarily store email content and uploaded invoice files *solely* for the Purpose of identifying and extracting relevant invoice information and providing the Service features to you. We process this data automatically. Our access and use of email data obtained via APIs (like Gmail) will adhere to the respective API service's user data policies, including Limited Use requirements where applicable.
Ownership: You retain full ownership of your emails, uploaded files, and the underlying data contained within them. The extracted and organized data presented in your dashboard ("Extracted Data") is also your content.
Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of the data in your email account and uploaded files.
Credit System: The Service operates on a prepaid credit system. Users purchase credits (top up their balance), which are then consumed when using individual features of the Service according to the current pricing published on our website.
Nature of Credits: Purchased credits constitute a single-purpose voucher (jednoúčelový poukaz) within the meaning of §15a of the Czech VAT Act (Act No. 235/2004 Coll.), as they are intended exclusively for payment of services provided within Moniary, and the place of supply and applicable tax rate are known at the time of credit purchase.
Payment Methods: Credits can be purchased via bank transfer to the Provider's bank account. Specific payment details are displayed in the Service's user interface.
Credit Consumption: Credits are consumed automatically when using individual features of the Service. Prices for individual features are governed by the current pricing published on our website.
Credit Validity: Purchased credits have no expiration date and remain valid for the entire duration of the user's account.
Non-Refundability: Purchased credits are non-refundable, except in cases provided by law, in particular the right of withdrawal under Article 8 of these Terms.
Service Delivery: The Service is provided electronically as digital content (SaaS) and is available immediately upon registration and credit top-up. Access to the Service is provided through the web interface at moniary.com.
Currency and Pricing: Prices are listed in Czech crowns (CZK). We are not VAT payers.
Price Changes: We reserve the right to change prices for using the Service's features. We will notify you of any price changes at least 30 days in advance. Price changes will not affect already purchased credits. If you do not agree with the price change, you have the right to terminate the contract effective on the date the price change takes effect.
As a consumer, you have the right to withdraw from the contract without giving any reason within 14 days of the conclusion of the contract in accordance with §1829 of the Czech Civil Code.
Since the Service is provided as digital content (SaaS), you agree that the provision of the Service shall begin immediately upon conclusion of the contract and payment. You acknowledge that once the digital content has been fully provided, you lose the right to withdraw from the contract.
How to withdraw: You may exercise your right of withdrawal by sending a clear statement (e.g., by email) to support@moniary.com or by phone at +420 228 811 313.
Required information: In your statement, please include: your full name, the email address associated with your account, the date of the contract conclusion, and a clear statement that you are withdrawing from the contract.
Refund: In the event of a valid withdrawal, we will refund all payments received without undue delay, no later than 14 days from the date we receive your withdrawal notice, using the same payment method you used for the original transaction.
Updates: We provide updates to the Service necessary for its proper functioning throughout the duration of the contract in accordance with §2389a et seq. of the Czech Civil Code.
Liability for defects: We are responsible for defects in the Service that occur during the term of the contract. This includes in particular service unavailability, incorrect data processing, or malfunction of agreed features.
Remedies: In the event of a defect in the Service, you have the right to free removal of the defect. If the defect cannot be removed or constitutes a material breach of contract, you have the right to reasonable compensation in the form of credit refund or to withdraw from the contract.
Complaint Procedures: The detailed procedure for filing complaints is described in our Complaint Procedures available on our website in the Complaint Procedures section.
Governing Law: These Terms shall be governed and construed in accordance with the laws of the Czech Republic. Any dispute arising from or relating to these Terms will be resolved in the competent courts of Prague, Czech Republic.
Dispute Resolution: In case of dispute, the parties will first attempt an out-of-court resolution. If no agreement can be reached, the dispute will be submitted to the competent court in the Czech Republic.
Out-of-Court Consumer Dispute Resolution: The Czech Trade Inspection Authority (www.coi.cz) is the competent body for out-of-court consumer dispute resolution.
To the extent permitted by applicable law, we, our affiliates, directors, employees, or licensors shall not be liable for any indirect, punitive, incidental, special, or consequential damages arising from the use of or inability to use the Service.
Our total liability for any claims arising out of or relating to these Terms or the Service is limited to the amount you paid for using the Service in the preceding 12 months.
This limitation of liability does not apply to damage caused intentionally or through gross negligence, to harm to natural rights of a person, or to cases where limitation of liability is prohibited by law (§2898 of the Czech Civil Code).
Term: These Terms commence upon your acceptance and continue until terminated.
Termination by You: You may terminate your account and these Terms at any time by discontinuing use of the Service and deleting your account.
Termination by Us: We may suspend or terminate your access to the Service in the event of a material breach of these Terms, non-payment, unlawful conduct, or misuse of the Service. We will notify you by email of any suspension or termination, including the reason.
Service Availability: We strive to provide continuous availability of the Service on a best-effort basis. However, we do not guarantee uninterrupted or error-free operation of the Service.
Planned Maintenance: We may temporarily suspend the Service for planned maintenance. We will notify you of planned maintenance windows at least 48 hours in advance via email or notification in the Service.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: power outages, internet service disruptions, natural disasters, acts of government, pandemics, cyberattacks, or failures of third-party service providers.
Data Export: You have the right to export your data from the Service at any time. We provide export functionality in ISDOC and CSV formats through the Service's user interface.
No Export Charges: We do not charge any fees for exporting your data from the Service.
Switching Assistance: In accordance with the EU Data Act (Regulation (EU) 2023/2854), we will provide reasonable assistance to facilitate switching to another service provider upon your request.
We reserve the right to modify these Terms. Material changes will be announced at least 30 days in advance by email or notification in the Service. If you do not agree with the changes, you have the right to terminate the contract effective on the date the changes take effect. If you do not terminate the contract before the effective date of the changes, the changes are deemed accepted.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding our Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment: You may not assign these Terms without our prior written consent. We may assign rights and obligations under these Terms to a third party upon prior notice, provided that such assignment does not diminish your rights.
